Welcome to Blockcircle. By accessing or using our platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms & Conditions. Please read them carefully.

1. About Blockcircle

Blockcircle provides a suite of financial market intelligence tools, including but not limited to:

• Alpha Hunter Suite (AHS) - Prediction market aggregation, AI-powered analysis, and whale tracking
• Momentum Trading Engine (MTE) - Backtested momentum-based trade signals for crypto and stocks
• Multi-Timeframe Momentum Scorecard (MMS) - Multi-timeframe momentum analysis
• Altcoin Market Scorecard (AMS) - Altcoin market health and opportunity scoring
• Macroeconomic Risk Scorecard (MRS) - Macroeconomic risk assessment and tracking
• Global Liquidity Scorecard (GLS) - Global central bank liquidity monitoring

Trading in cryptocurrencies, stocks, prediction markets, and other financial instruments involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results.

3. Risk Disclosure

By using our Services, you acknowledge and accept the following risks:

• Market Risk: Cryptocurrency and financial markets are highly volatile. You may lose some or all of your invested capital.
• Prediction Market Risk: Prediction markets involve speculating on outcomes of events. Prices can fluctuate dramatically and resolve to zero.
• AI Analysis Limitations: Our AI-powered analysis tools provide probabilistic assessments. They can be wrong. AI models have biases and limitations.
• Data Accuracy: While we strive for accuracy, market data may be delayed, incomplete, or contain errors. Do not rely solely on our data for trading decisions.
• Signal Risk: Trade signals from MTE or other tools are based on backtested strategies. Backtested performance does not guarantee future results.
• Regulatory Risk: Cryptocurrency and prediction market regulations vary by jurisdiction. You are responsible for complying with your local laws.

3A. Trade Execution & Non-Custodial Services

Blockcircle provides tools that allow you to construct and route trade transactions to third-party exchanges and decentralized protocols. By using these features, you acknowledge and agree to the following:

• Non-Custodial: Blockcircle NEVER holds, controls, or has access to your funds, tokens, or digital assets. All transactions are signed by you using your own wallet (browser extension, hardware wallet, or exchange API key). We construct transaction data; you authorize and submit it.
• Wallet Connection: When you connect a wallet or provide exchange API keys, you do so at your own risk. You are solely responsible for the security of your wallet, private keys, seed phrases, and API credentials. Blockcircle encrypts stored API keys using Google Cloud KMS but cannot guarantee absolute security.
• DEX Trading Risk: Decentralized exchange (DEX) trades are executed on-chain via third-party smart contracts (Uniswap, Jupiter, 0x, etc.). These contracts may contain bugs, be subject to exploits, or experience abnormal price conditions. Blockcircle is not responsible for smart contract failures, MEV attacks, front-running, sandwich attacks, or adverse price execution.
• Slippage & Price Impact: On-chain trades may experience slippage (difference between expected and executed price). We enforce maximum slippage limits but cannot guarantee execution at the quoted price.
• Exchange Compliance: You are solely responsible for complying with the terms of service and geographic restrictions of any third-party exchange you connect to (including but not limited to Hyperliquid, Binance, Bybit, Coinbase, and others). Blockcircle cannot verify your citizenship, residency, or eligibility to use any particular exchange.
• Automated Trading: If you enable automated trade execution (copy trading, MTE signal execution, DCA, or conditional orders), you acknowledge that automated trading carries additional risks including but not limited to: execution delays, cascading losses, and unintended position sizing. You are solely responsible for configuring trade parameters and monitoring your positions.
• No Guarantee of Execution: Blockcircle does not guarantee that any trade will be executed, confirmed, or settled. Network congestion, gas price spikes, exchange outages, or API failures may prevent or delay trade execution.
• Third-Party Protocols: Blockcircle routes trades through third-party aggregators and protocols (0x, Jupiter, CowSwap, etc.). We are not affiliated with, endorsed by, or responsible for these protocols. Their fees, terms, and risks are separate from ours.

4. User Accounts & Subscriptions

4.1 Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.2 Subscription Plans

We offer Plus, Premium, and Enterprise subscription plans, as well as one-time credit packs. Subscription fees are billed in advance on a monthly or annual basis. All fees are in US dollars.

4.3 Cancellation & Refunds

Monthly subscriptions can be cancelled at any time. Annual subscriptions can be cancelled before renewal. We offer a 7-day money-back guarantee on first-time subscriptions. Credit packs are non-refundable once used.

5. Acceptable Use

You agree NOT to:

• Use the Services for any unlawful purpose
• Attempt to reverse-engineer, scrape, or redistribute our data, tools, or content
• Share your account credentials with others (except Enterprise multi-seat plans)
• Use automated systems to access the Services beyond our API limits
• Misrepresent our analysis or signals as personalized financial advice to third parties

6. Intellectual Property

All content, tools, algorithms, scorecards, analysis methodologies, and branding on Blockcircle are owned by Blockcircle and protected by applicable intellectual property laws. Our TradingView indicators published as open source are governed by their respective licenses.

7. Third-Party Data & Services

Our platform aggregates data from third-party sources including Polymarket, Kalshi, Manifold, PredictIt, Metaculus, Opinion Trade, and various on-chain data providers. We are not responsible for the accuracy, availability, or reliability of third-party data. Payment processing is handled by Stripe.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOCKCIRCLE AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Blockcircle in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Blockcircle from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or any trading decisions you make based on information obtained through the Services.

10. Modifications

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email or platform notification.

11. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration.
